The following terminology applies to these Terms and Conditions and all other agreements: ‘User’, ‘their’, ‘you’ and ‘Advertiser’ refers to yourself, the person accessing the website and accepting the organization’s terms and conditions. ‘The Company’, ‘We’ or ‘Us’, refers to Freedirectory.



 

User/Website Terms and Conditions


 

Terms and Conditions pertaining to use of the site


 

1. The User may only use the website for business listing purposes only.
2. The User may not use FreeDirectory for any other purposes than as stated in its terms and conditions.
3. The User may only upload information and images related to their business, and is not allowed to add any information that
 
a. Breaches intellectual property rights
b. Can be considered objectionable to other parties
c. Contains violence, nudity or other forms of inappropriate material
d. Results in the uploading of material deemed inappropriate will lead to immediate termination of account
4.

The User may not gain access to or alter passwords, usernames, profiles, and other sensitive information belonging to other listed members of the Company. Neither may the User destroy or attempt to destroy the online stability or security of the Company.
 
a. The User will be fully responsible for maintaining own account use, password maintenance and general privacy.
b. The User will be fully responsible for any information uploaded, whether publicly posted or privately transmitted.
5. FreeDirectory does not claim responsibility for any content posted online by its user database.
6. All terms and conditions are subject to change at the sole discretion of the Company.
7. FreeDirectory possesses the right to suspend or delete the account of any User without prior notice or consent.




 

Terms and Conditions pertaining to Advertising on the site


 

General terms of the contract


 

1. All business owners advertising on VereDirectory are bound by the terms and conditions listed on https://freedirectory.net.au/
2. the terms that apply to the full Contract of Service include
 
a. The listed terms and conditions on the website.
b. The authorized payment form processed by our sales representatives at the Company.
3. FreeDirectory holds the right to vary these terms and conditions at any time without notice
4. The contract begins on the date approved by FreeDirectory after the review of payment by the User


 

Termination or Variation to the Contract or Terms


 

1. FreeDirectory is authorized to make any changes or alterations to the Terms and Conditions without any prior notice or warning, and all changes will be incorporated and considered effective as soon as they are published on the website.
2. The Advertiser will be responsible for any awareness of any variation of the terms and conditions and continued use will indicate acceptance of any changes or variations.
 
  


 

Content


 

1. The Advertiser is responsible for any content uploaded on to FreeDirectory.com.au, while following the terms set out in the most recently updated version of the terms and conditions.
2. FreeDirectory takes no responsibility for any material uploaded by the Advertiser, and any misrepresentation or misleading statements made in a listing are the sole responsibility of the Advertiser.
 
a. FreeDirectory reserves the right to refuse the publishing of any material on its website without any liability to the Company.
b. FreeDirectory reserves the right to remove any material by any Advertiser without any liability to the Company.
3. FreeDirectory reserves the right to refuse any Advertiser or delist them from the listing service without providing any reason whatsoever and without any liability to the Company.
4. FreeDirectory reserves the right to publish print, online, television and electronic advertisements using the business listings that are advertised. FreeDirectory can choose to advertise only part of the listing or a recreated version of it. Advertisers have no right or entitlement to advertisements placed by FreeDirectory in the abovementioned categories.
5. Upon agreement of the terms and conditions as listed on this page, the Advertiser agrees to submit all intellectual property rights of material submitted to FreeDirectory.
6. Any material obtained from FreeDirectory’s website can be used for purposes listed only under the Copyright Act 1988 (Cth).


 

Payment


 

1. A representative of FreeDirectory will review and approve the application based upon Cl 2 of the Advertising Terms and Conditions.
2. Package of prices listed online are not inclusive of GST. Any business owners wishing to list their business must acknowledge the additional 10% GST charge that they will incur.
3. A 3% surcharge will apply with Paypal and Credit Card Payment (Visa / Master).
4. In the event that the Advertiser fails to comply with FreeDirectory’s terms of payment, the Company holds the right to either
 
a. Report the Advertiser to a credit reporting agency, OR
b. Seek legal action to recover any amounts owing, in which the Advertiser will be liable for all legal fees and costs.
5. The contract between FreeDirectory and the Advertiser is based on a principal guarantee and is enforceable. Any relations the Advertiser may establish with third parties will not be applicable to this contract.
6. The Advertiser will be considered to be in breach of contract if monthly payments are not made on time OR if there are insufficient funds to execute the payments.
7. If FreeDirectory reserves the right to request additional credit reports from the Advertiser.



 

Indemnity


 

1. All information contained on this website is on an 'as is' basis. The Company is not responsible for any representations and/or warranties in relation to this website by any third parties and/or affiliates.
2. FreeDirectory will not be held liable for any damages arising out of loss of business or profit (whether or not loss was foreseeable), damage caused to your computer, computer software, systems, programs and data thereon or any other direct or indirect consequential or incidental damages.
3. Users or Advertisers may not hold FreeDirectory responsible, its affiliate companies, its directors, employees and agents against any loss or damage incurred by using the website.
4. FreeDirectory is excluded from any liability relating to any claims on:
 
a. Copyright infringement, including but not limited to the reproduction of logos, images and text
b. Listing or promotion of businesses in direct competition with the Advertiser which may result in unfair competition
c. Breach of the Trade Practices Act 1974 (Cth) and/or the Privacy Act 1988 (Cth)
5. The Advertiser may not assign any rights or obligations to Verecom or FreeDirectory without the prior consent of the Company.
6. In the event that any particular term or condition is considered obsolete, the remainder of the contract will remain in effect.
7. When executing all dealings with FreeDirectory, agree to submit to the jurisdiction of the courts of New South Wales.
